These Terms of Service ("Terms") govern your use of the website located at www.ssbuildapp.site and any services provided by S.S Building App Private Limited ("we", "our", "us"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our website or services.
These Terms constitute a legally binding agreement between you and S.S Building App Private Limited. We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the date at the top of this page. Your continued use of our website or services after any changes constitutes acceptance of the updated Terms.
S.S Building App Private Limited provides professional app development services including iOS application development, Android application development, cross-platform app development, web application development, e-commerce application development, and maintenance and support services. The specific scope, deliverables, timeline, and commercial terms of any engagement are set out in a separate Statement of Work or Project Agreement signed by both parties.
All quotations provided by us are valid for 30 days from the date of issue unless otherwise stated. A quotation does not constitute a binding commitment to provide services. A binding engagement commences only upon execution of a written Project Agreement and receipt of the agreed deposit payment. We reserve the right to decline any project enquiry at our discretion.
Any changes to the agreed scope of work must be documented in a written Change Request, signed by both parties, before implementation. Changes may affect the project timeline and cost.
Unless otherwise agreed in writing, our standard payment structure is: 30% deposit upon signing the Project Agreement; milestone payments as defined in the Project Agreement; and a final payment of no less than 20% of the total project value upon completion and before final delivery of source code and assets. All invoices are payable within 14 days of issue. We reserve the right to suspend work if payments are not received within 30 days of the due date. Overdue payments accrue interest at 2% per month.
Client materials: You retain all intellectual property rights in any materials, content, data, or specifications you provide to us for the purpose of the project.
Deliverables: Upon receipt of full payment, we assign to you all intellectual property rights in the custom code, designs, and other deliverables created specifically for your project. This assignment does not include our pre-existing tools, frameworks, libraries, or methodologies.
Our tools and frameworks: We retain all intellectual property rights in our pre-existing tools, frameworks, code libraries, and methodologies. Where these are incorporated into your deliverables, we grant you a perpetual, non-exclusive, royalty-free licence to use them as part of the delivered application.
Both parties agree to keep confidential any information disclosed by the other party that is marked as confidential or that a reasonable person would understand to be confidential. This obligation does not apply to information that is publicly available, was already known to the receiving party, or is required to be disclosed by law. The confidentiality obligation survives termination of the engagement for a period of three years.
We warrant that: the services will be performed with reasonable skill and care; the deliverables will materially conform to the agreed specifications; and we have the right to provide the services and assign the intellectual property as described in these Terms.
We do not warrant that: the deliverables will be error-free or uninterrupted; the deliverables will meet any performance benchmarks not explicitly agreed in the Project Agreement; or third-party services integrated into the deliverables will remain available or unchanged.
To the maximum extent permitted by applicable law, our total liability to you for any claims arising out of or in connection with these Terms or any Project Agreement shall not exceed the total fees paid by you to us in the three months preceding the event giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of business, even if we have been advised of the possibility of such damages.
Either party may terminate a Project Agreement with 30 days' written notice. Upon termination, you are obligated to pay for all work completed up to the date of termination. We will deliver all completed work product to you upon receipt of payment for work completed. If you terminate without cause, the deposit is non-refundable. In the event of any dispute arising out of or in connection with these Terms or any Project Agreement, the parties shall first attempt to resolve the dispute through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may refer the matter to mediation. If mediation is unsuccessful, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Bengaluru, Karnataka, India.
These Terms and any Project Agreement shall be governed by and construed in accordance with the laws of India. Subject to the dispute resolution clause above, the courts of Bengaluru, Karnataka shall have exclusive jurisdiction over any disputes.
These Terms, together with any applicable Project Agreement, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior agreements, representations, and understandings. No waiver of any provision of these Terms shall be effective unless in writing and signed by both parties.
